Venture capital & private equity

Fund administration, purpose-built for the fund manager.

FundNomix runs a private fund's lifecycle from first capital call to published capital account. Capital calls and distributions need a second person. Every period closes against a tie-out, or it does not close.

  • 30+years of combined experience

For US fund managers

Specialists in venture capital and private equity.

  • FundNomix operators keep the books
  • Your GP reviews and approves
  • Limited partners read their own portal

Key benefits

01

Run fund events under control

Capital calls and distributions wait for a second, different person before anything is billed or booked.

  • Capital calls with a second approver

A different person approves each call before any partner is billed. Partial wires are recorded as tranches; an over-wire is released as a journal entry with a reason.

  • Waterfall previewed, then confirmed

Preview a European waterfall tier by tier before anything is committed. With two-person approval switched on for the fund, the person who priced it cannot confirm it.

  • Distributions booked on approval

A distribution is entered as a proposal, with no journal entry. The entry is posted and partner notices are generated when the GP approves it.

02

Close with confidence

A period closes only when no tie-out check fails and every live warning is acknowledged by name. Capital accounts are published to partners only with a recorded GP authorization.

  • Tie-out before close

A close is refused while any tie-out check fails. That gate cannot be forced.

  • Warnings acknowledged by name

A live warning must be acknowledged by name before the period closes; it cannot be forced past.

  • Statements generated and filed

Capital accounts are published with a GP authorization recorded on the publication. Quarterly statements are generated and filed to each partner's own document vault.

03

Give limited partners a clear view

Partners are cleared before capital is called, equalized at later closings, and read their own figures in their own portal.

  • KYC with a second approver

Each partner's KYC is reviewed with evidence attached and approved by a different person. No capital is called and no commitment becomes active until then.

  • Subsequent-closing equalization

A partner admitted after capital has been called pays a catch-up contribution and interest, computed from the fund's own terms and approved by a second person before it is sent.

  • A portal of their own

Each partner signs in to see their commitment, capital account and published statements. The GP cannot open it, by design.

A closer look

Three moments in a fund's quarter

Illustrative views. Names and figures are samples.

Booked only on approval

A distribution stays a proposal, with no journal entry, until the GP approves it.

Checked before close

A period closes only when no tie-out check fails and any live warning is acknowledged by name.

A statement for each partner

Quarterly capital account statements are generated and filed to each partner's own document vault.

How it works

From an operator's draft to a partner's portal

Four steps, from the first draft to a statement a partner can read.

  1. Step 1

    Draft

    • An operator drafts the capital call or distribution
    • A distribution's character is stated when it is entered
    • Nothing is billed or booked yet
  2. Step 2

    Second-person review

    • A different person approves
    • Self-approval is refused
    • Only then can partners be billed or the distribution be booked
  3. Step 3

    Tie-out

    • The close is refused while any tie-out check fails
    • Live warnings are acknowledged by name
    • Neither can be forced
  4. Step 4

    Publish to partners

    • Capital accounts are published with a recorded GP authorization
    • Statements are filed to each partner's vault
    • Partners read them in their own portal

Calls and distributions cannot skip step 2. No period closes without step 3.

Security

Built for controls

Designed around SOC 2 controls. These are in the product today.

A SOC 2 report is not yet available.

Append-only audit log

Approvals, refusals and every money step are recorded with the person who took them. The table refuses updates, deletes and truncation at the database. The GP can read it; the operator cannot.

Two-person approvals

Capital calls, distributions, KYC approvals and equalizations each require a second, different person. With two-person approval switched on for the fund, so does the waterfall.

Partner tax IDs encrypted at rest

Partner tax identification numbers are stored encrypted. Bank account numbers and tax IDs are never stored in the browser.

Tenant isolation

Every request is scoped to your organization at the data layer. A cross-organization reference is refused and recorded.

No self-approval

A GP is view-only and approve-only. The person who submits a call, distribution, KYC review or equalization can never be the person who approves it. External users hold exactly one role per login.

Who is FundNomix for?

Venture capital and private equity fund managers in the US. FundNomix operators keep the books; your GP reviews and approves; limited partners read their own portal.

What does a limited partner see?

Each partner signs in to a portal of their own showing their commitment, capital account and published statements. Quarterly capital account statements are filed to that partner's own document vault. The GP cannot open a partner's portal, by design.

How do approvals work?

Capital calls, distributions, KYC approvals and equalizations each require a second, different person: the person who submits one can never be the person who approves it. A GP is view-only and approve-only. With two-person approval switched on for a fund, the person who priced its waterfall cannot confirm it.

Is there a SOC 2 report?

Not yet. FundNomix is designed around SOC 2 controls, and the controls described on this page are in the product today, but a SOC 2 report is not yet available.
